TENDER SALE By MURRAY &
CO., Under Instructions from and At Irizar TVS Ltd., Tender No.D059V/09/T002 due on 11.2.2010 by 4 p.m. CONDITIONS OF TENDER 1.The
tender sale is conducted by Murray & Co., under instructions from M/s.Irizar TVS Ltd., 2.The items are offered for
sale in “ As is where is” condition. Prospective tenderer
should inspect the materials before submitting the tender. Quantities,
qualities, sizes, measurements, number and weights as stated elsewhere in
this document are approximate and no warrantee or guarantee shall be
implied. No complaint will be
entertained once the tender is submitted and no reliance must be placed on description.
The “Principle of Caveat Emptor” will apply. 3.
Inspection of the scrap materials can be had on 9.2.2010, 10.2.2010 during
factory working hours & 11.2.2010 upto 12
noon at Irizar TVS .Ltd., Trichy
Road, Viralimalai-621 316. 4.
The lots and quantities are subject to changes and any addition or deletion
will be announced at the time of Inspection. 5.
Offers are to be submitted in the prescribed tender form, which will be
available at the time of inspection at Irizar TVS
Ltd., Trichy Road, Viralimalai
– 621 316 on payment of Rs.50/- by Cash / DD (Non refundable) in favour of Irizar TVS Ltd., Viralimalai. 6.
Issue of tender documents will be closed on 11.2.2010 by 3.30 p.m. at Irizar TVS Ltd., Trichy Road,
Viralimalai-621 316. 7.Tender form (Duly filled in) shall be deposited in
the Tender Box placed at Irizar TVS Ltd., Trichy Road, Viralimalai – 621
316 in a sealed cover, superscribed “Tender for purchase of scrap materials.
Tender No.D059V/09/T002 due on 11.2.2010 by 4 p.m.” along with tender deposit
noted against each group by way of Demand Draft favouring
Irizar TVS Ltd., payable at Trichy.
All tenders should reach Irizar TVS Ltd., Trichy Road, Viralimalai – 621
316 on or before 11.2.2010 by 4 p.m. Tenderers may
quote only for those lots in the group for which they have remitted the
deposit. Offers made for lots in any other group will be summarily
rejected. Tenders without deposit or
with insufficient deposit, late tenders are liable to be rejected. 8.
The tender form should be complete in all respects. Offers should be
submitted only per unit mentioned in
the tender form. The PAN (Permanent Account Number), TIN (Tax Identification
Number), Excise Registration and Sales Tax Registration numbers should be
indicated clearly in the spaces provided. Receipt, Invoices & Gate Passes
will be raised by the COMPANY only in the name mentioned in the tender
document. Under no circumstances, will
request for raising invoices in favour of parties
other than the tenderer be considered. All offers
should be exclusive of Excise duty, Cess on Excise
duty, VAT & TCS. 9. Tenders once submitted shall not be withdrawn
until the COMPANY takes a decision on the same. Normally the COMPANY would decide on
acceptance or otherwise of the offers within 7 working days from the due date
and the tenderer shall hold the offer(s) firm till
a decision is taken by the COMPANY. If
a tenderer backs out of his offer(s) before the
COMPANY takes a decision on acceptance or otherwise, the tender deposit paid
by the tenderer would be forfeited to the COMPANY. 10. If the purchaser is an end user of the scrap
material, self declaration in the prescribed format should be attached to the
tender form, failing which TCS will be levied as prescribed under the Act 11.The Company reserves
the right to reject any or all tender offers without assigning any reason therefor. If, in the opinion of the Company, the highest
offer(s) received is less than the expected price, the Company, may at its
discretion, negotiate with any of the tenderers for increased prices. Tenderers,
whose offer(s) are accepted by the Company, shall be the purchasers. On
acceptance of any lot(s) in any group(s), the tender deposit paid by the
successful tenderer(s) will be allocated as EMD for
the accepted lot(s) in the manner the Company deems fit. 12. Acceptance of the tender will be communicated
to the successful tenderer within 7 working days
from the last date for receiving the tender, to the address given in the tender form.. It is also the responsibility of the tenderer
to ascertain whether their tender offer(s) have been accepted. Non-receipt of
intimation of acceptance or late receipts shall not be an excuse for delayed
payment. 13. The purchaser shall remit the balance amount with
Excise Duty, VAT and other levies, where applicable, at the respective rates,
within 7 working days from the date of acceptance. EMD shall be adjusted only
at the time of last clearance. Payment should be made at the Office of Irizar TVS Ltd., Trichy Road, Viralimalai – 621 316
by way of Demand Draft favouring Irizar TVS Ltd.,
payable at Trichy.
14.If
the purchaser fails to remit the amounts as detailed in clauses above, the
COMPANY may at its discretion, permit the purchaser to remit the amounts for
an extended period, subject to payment of interest at the rate of 0.25%
per day of default on the balance sale value, in addition to the
amounts detailed in clauses above. 15.The materials paid for as per the clauses above should be
removed from the factory premises at the purchaser’s own cost within 7 working
days from the date of acceptance of the offers. The quantity indicated is
only approximate and the purchaser should clear the entire accumulation at
the agreed rate. 16. For MS, GI & Aluminium scrap, the
empty and loaded vehicle will be weighed outside in atleast
2 weigh bridges and the highest weight will be taken. 17.If
the purchaser fails to clear the materials as stipulated in clauses above,
the COMPANY may at its discretion, permit the purchaser to remit the amounts
for an extended period subject to payment of ground rent at the rate of 0.25%
per day of default on the sale value. 18
.Failure on the part of the purchaser to pay for and/ or remove the materials
as provided in the Clauses above, will result in the
forfeiture of the Earnest Money Deposit/ amounts paid to the COMPANY. In the
event of such forfeiture, the COMPANY may dispose of the materials in any
manner they may choose to, at the risk and expense of the defaulting
purchaser, without any notice to them. The defaulting purchaser will be
liable for the loss, if any, incurred from such resale but they shall not be
entitled to profits, if any from such re-sale. 19.
The goods shall be and remain in every respect, at the risk of the tenderer from the date of acceptance of his offer and the
Company shall not be under any liability for safe custody or preservation
thereof, till date of final removal. 20.
The COMPANY will not be liable for any accident or injury to any of the
purchaser’s workmen or transport while in the COMPANY premises. 21.
Purchaser’s workmen and transport shall observe the rules and regulations of
the COMPANY in regard to entry or exit from the COMPANY, safety, etc., 22.
Scrap materials shall be deemed to be sold by the COMPANY and purchased by
the purchaser under the contract once the purchaser pays for the same to
MURRAY & CO., Materials, once sold to the purchaser under this contract,
if not removed immediately, shall be lying in the Company’s premises at the
risk of the purchaser and the COMPANY shall not be liable for any damage or
loss by fire, floods, weather or theft etc., 23.The purchaser will be held liable for damages or loss
caused to the Company’s building, property, materials or men by the
purchasers’ workmen’s or transport whether directly or indirectly. 24. In addition to any indemnity provided by law,
the buyer shall indemnity the company against all liabilities whatsoever to
pay compensation under the workmen’s compensation act 1923 or any amending
Act in respect of any accident to any of the workmen employed by him under
such other Acts as may be applicable with labour or
compensation in respect of any claims arising out of or in the course of the
work contemplated under this tender and against all costs charges and
expenses incurred or suffered by the seller in or about the matter. 25. In case of any dispute arising out of tender
sale, such disputes shall be resolved by Arbitration under the Arbitration
and Conciliation Act 1996, by sole arbitrator with Madurai as venue. The
Arbitrator shall be appointed by the Owners and the proceedings / award shall
be in English. 26.The decision of
the COMPANY will be final and binding in all matters. 27.By
participating in this tender, the tenderer shall be
deemed to have accepted the terms & conditions of this tender. LIST OF MATERIALS
